Our ability to repurchase notes upon a change of control may be limited.
Upon the occurrence of a Change of Control Triggering Event (as defined herein), each holder of notes will have the right to require us to
repurchase the holders notes. If a Change of Control Triggering Event were to occur, but we did not have sufficient funds to pay the repurchase price for all of the notes which were tendered, that failure would constitute an event of default
under the Indenture. Therefore, the occurrence of a Change of Control Triggering Event at a time when we could not pay for the notes which were tendered as a result of the Change of Control Triggering Event could result in holders of notes receiving
substantially less than the principal amount of the notes.
